By accessing, using and/or downloading any materials or content from the website, you agree to follow and be bound by these terms and conditions. If you do not agree with these terms, you may not use this website.

General provisions  

We endeavour to ensure the information on this website is complete, accurate and current. Despite our efforts, the information on this website may be inaccurate, incomplete or out of date sometime. We make no representation as to the completeness, accuracy or currentness of any information on this website. All features, content, specifications, products and prices of products and services described or depicted on this website are subject to change at any time without notice.

All materials provided on the website, including but not limited to information, documents, products, logos, graphics, sounds, images, compilations, code, content and services (“Material” or “Content”), are provided either by iDentalLab or by respective third party providers, developers or vendors (“Third party Providers”) and are the copyrighted works of iDentalLab and/or its Third Party Providers, unless specifically provided otherwise. Except as stated herein, none of the Materials may be modified, copied, reproduced, distributed, republished, downloaded and /or otherwise used in any form or by any means without the prior express written permission of iDentaLab and/or a Third-Party Provider.

Materials provided by Third Party Providers have not been independently reviewed, tested, certified, or authenticated in whole or in part by iDentalLab. IDentalLab does not provide, sell, license, or lease any of the Materials other than those specifically identified as being provided by iDentalLab. Any unauthorised use of Materials contained on the website may violate copyright laws, trademark laws, and/or communications regulations and statutes. It is your obligation to comply with all applicable state, federal and international laws. You are responsible for maintaining the confidentiality of your account information and password and for restricting access to such information and to your computer. You agree to accept responsibility for all activities that occur under your account or password.

Creating an account  

You are required to create an account to use the iDentalLab service. You need to provide us with information such as your full name, business name and a valid email address, as well as a strong password. You are responsible for all activities that occurs in association with your account. IDentalLab is not liable for any loss or damages caused by your failure to maintain the confidentiality of your account credentials. Please contact iDentalLab Support if you discover or suspect any security breach related to your account.

Price and payment  

The price of the Products and Services set out on our Website are calculated in Australian dollars and will be confirmed to you in our Order Confirmation.

We reserve the right at any time to increase the prices of the Products and Services and to change the range of Products and Services available. We will announce these changes on the website or via email notification.

Service charge will need to be paid beforehand. If you fail to make any payment by the due date, you and your client may not be able to access the service online.

Upload your content  

You retain all rights to Your Content that you post to the iDentalLab website and platform. By making Your Content available on or through the iDentalLab Service you hereby grant to iDentalLab a non-exclusive, transferable, royalty-free license to use. The rights you grant us in this Section are only for the limited purpose of offering and improving the iDentalLab Service. You represent and warrant that your content, the use and provision of your content on the iDentalLab Service, and your use of the iDentalLab Service will not infringe or violate a third party’s copyright, trademark or intellectual property rights; violate any applicable law or regulation; be fraudulent, false, misleading, or deceptive; be defamatory, obscene, pornographic, vulgar, or offensive; promote discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group; promote illegal or harmful activities or substances.

You further agree not to upload any content that contains viruses or is designed to interrupt, destroy, or limit the functionality of services. You will not use or attempt to use another user’s account without authorisation or impersonate any person or entity.

IDentalLab may alter, remove, or refuse to display any of your content, and may forbid you from posting, uploading, storing, sharing, sending, or displaying your content to and via the iDentalLab Service in its sole discretion,

Licenses  

IDentalLab grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use iDentalLab online service and content. This license is provided solely for commercial use of the iDentalLab Service as permitted in these Terms.

You will not use, sublicense, copy, modify, disclose, prepare derivative works based upon, distribute, license, sell, lease, assign, transfer, or otherwise exploit the iDentalLab Content, Service or any portion thereof, except as expressly permitted in these Terms.

Use at your own risk  

If you rely on any iDentalLab content or the iDentalLab service, you do so solely at your own risk.

Our goal is to provide helpful and accurate information on the iDentalLab service, but we make no endorsement, representation, or warranty of any kind about any iDentalLab content, information, or services.

We are not responsible for the accuracy, reliability, availability, effectiveness, or correct use of information you receive through the iDentalLab Service. We make no warranty that the iDentalLab Service or iDentalLab Content will meet your requirements or be available on an uninterrupted, secure, or error-free basis.

Third-party services  

The iDentalLab service may display or permit linking or other access to or use of third-party content, promotions, websites, apps and services (collectively “Third-Party Services”) that are not under iDentalLab’s control. You acknowledge that any Third-Party Services that you use in connection with the iDentalLab Service are not part of the iDentalLab Service and are not controlled by iDentalLab, and you take sole responsibility and assume all risk arising from your interaction with or use of any Third-Party Services. You also acknowledge that these Terms and the iDentalLab Privacy Policy do not apply to any Third-Party Services. You are responsible for reading and understanding the terms and conditions and privacy policy that applies to your use of any Third-Party Services.

Change and notification  

IDentalLab may change or discontinue any feature or component of the iDentalLab service at any time without notice. IDentalLab is not liable to you or to any third party for any modification, suspension, or discontinuance of any features or components of the iDentalLab service. We reserve the right to determine the timing and content of software updates.

As part of your use of the iDentalLab service, you may receive notifications, text messages, alerts, emails, and other electronic communications. You agree to the receipt of these communications. You can unsubscribe some commercial promotion or newsletter via the iDentalLab website.

Termination  

We reserve the right to suspend or terminate your account or your access to iDentalLab service or website at our sole discretion at any time and without notice or liability to you. You are personally liable for any orders that you place or charges that you incur prior to termination. We reserve the right to change, suspend, or discontinue all or any aspect of this website at any time without notice. You may choose to close your account at any time by contacting iDentalLab Customer Service.

Indemnity  

You will indemnify and hold harmless iDentalLab or its officers, directors, employees, affiliates, agents, licensors, contractors and Third-Party providers from and against any claims, suits, actions, demands, disputes, allegations, or investigations brought by any third party, governmental authority, or industry body, and all liabilities, damages, losses, costs, and expenses, including without limitation reasonable attorneys’ fees, arising out of or in any way connected with your access or use of the iDentalLab service, content, any third-party services.

In no event will iDentalLab’s total liability arising out of or in connection with these terms or from the use of or inability to use the iDentallab service exceed the one month subscription fee you have paid to iDentallab for use of the iDentalab service or one hundred Australian dollars (A$100).

The exclusions and limitations of damages set forth above are fundamental elements of the basis of the bargain between iDentalLab and you.

Dispute resolution  

You agree that any dispute between you and iDentalLab arising out of or relating to these Terms of Service, the iDentalLab service (collectively, “Disputes”) will be governed by the laws of Australia without regard to its conflict of laws principles.

Before filing a claim against iDentalLab, you agree to try to resolve the Dispute informally by contacting support@identallab.com.au. We'll try to resolve the Dispute informally by contacting you through email within 15 days.

Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to your use of the iDentalLab products or iDentalLab Service must be filed within six months after such claim or cause of action arose, or else that claim or cause of action will be barred forever.

General terms  

Except as otherwise stated herein, these Terms constitute the entire and exclusive understanding and agreement between iDentalLab and you regarding the iDentalLab service, and these Terms supersede and replace any and all prior oral or written understandings or agreements between iDentalLab and you regarding the iDentalLab service and iDentalLab content.

We will announce any changes on the website and notify you via email and provide you an opportunity to review the revised terms. It’s your obligation to check and website and email. When you use the iDentalLab service after a modification becomes effective, you are telling us that you accept the modified Terms.

IDentalLab’s failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorised representative of iDentalLab. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise.
